- CONSTITUTION
- THE SKYSCRAPER CLUB OF CLEVELAND,
INC.

- ARTICLE I
- The official name of this organization shall be The Skyscraper
Club of Cleveland, Inc. (hereafter referred to as the "CLUB")
and duly registered with the Secretary of State of Ohio.

- ARTICLE II
- The purpose of the CLUB is to:
- 1. Perpetuate the non-profit organization status;
2. Facilitate the opportunity for tall people to meet on common
ground;
3. Support the needs of tall people; and
4. Support the worthwhile needs of local and national charities,
including the National Marfan Foundation.

- ARTICLE III MEMBERSHIP

- 1. There shall be four types of membership:
- A. Regular
B. Lifetime
C. Associate
D. Honorary
- A. Regular Membership:
- To be eligible for regular membership, an applicant must
meet the following requirements:
- 1. Minimum height for men shall to 6'2" in stocking
feet.
2. Minimum height for women shall be 5'10" in stocking feet.
3. Minimum age for membership shall be 21 years of age.
4. Privileges: The right to vote in elections and the right
to hold office.
5. Rights and Responsibilities: Participate in all business
and social functions of the CLUB and the prompt payment of all
dues, fees, and assessments when due.

- B. Lifetime:
- The CLUB currently maintains a Lifetime Membership list of
25 persons, whose members have demonstrated, in the past exemplary
performance in the support of this CLUB, which membership has
been closed as of 12/31/98.
- Enjoy the same rights and responsibilities as Regular Members
as defined in A.4. and A.5. above without obligation to pay yearly
dues.

- C. Associate:
- If a Regular Member marries one unable to meet the requirements,
he or she may become an Associate Member. An Associate Member
may not hold any elected or appointed office in the CLUB, but
may participate as a member of any committee. They may not vote
on CLUB business.
- Privileges of membership include the right to participate
in all CLUB activities.
- Obligations of membership include participation in all functions
of the CLUB whenever feasible, and the prompt payment of all
dues, fees and assessments.

- D. Honorary:
- An Honorary Membership shall be granted by the Cabinet for
promotion or publicity purposes to further public relations or
membership. The Honorary Member shall have the privilege of
attending CLUB social activities and receive a newsletter with
no obligation. The person receiving an Honorary Membership shall
be given a certificate.

- 2. REVOCATION OF MEMBERSHIP:
- Any member may be removed for just cause by two-thirds (2/3)
majority of those present at a Business Meeting.

- ARTICLE IV- OFFICERS
- 1. The Elected Officers of the CLUB shall be the President,
Vice President, Treasurer, Secretary, and Membership. These
Elected Officers shall be known as the Executive Board, the governing
body of the CLUB.
- 2. The Execute Board shall create positions necessary to
the functioning of the CLUB. These positions shall be known
as Appointed Officers.
- 3. All Elected and Appointed Officers shall be known as the
Cabinet and be expected to attend all CLUB meetings.

- ARTICLE V - ELECTION OF OFFICERS
- 1. There shall be an election of officers each December who
shall be elected by a majority vote of those present. The Executive
Board shall determine the procedure of the election.
- 2. The Executive Board shall be elected to a term of office
for one year. Any vacancy occurring in an elected office before
the expiration of the term shall be filled for the remainder
of the term by an election at the next Business Meeting, after
written notification to membership of the election.
- 3. Any Officer may be removed for just cause by a two-thirds
(2/3) vote of all Executive Board members, the accused being
ineligible to vote.
ARTICLE VI - DUTIES OF ELECTED OFFICERS

- 1. PRESIDENT:
- a. To preside at all CLUB meetings;
b. To enforce observance of the Constitution and By-laws;
c. To pick-up and distribute all incoming mail from the CLUB'S
post office box;
d. To be responsible for the voicemail by both retrieving and
disseminating messages and updating the greeting as needed.

- 2. VICE PRESIDENT
- a. To assist and support the President and assume the
President's duties during temporary absences;
b. To create the CLUB'S monthly calendar of activities and submit
the activities to the Editor, Membership, and Webmaster for publication;
and
c. To oversee all special events.

- 3. TREASURER
- a. To be the custodian of all CLUB monies and accounts;
b. To submit detailed monthly reports of all receipts and expenditures
at every Executive Board and Business Meeting;
c. To notify the Executive Board of the members who have not
paid their current dues; and
d. To collect all monies from current and Prospective members.

- 4. SECRETARY
- a. To record and permanently maintain the minutes of Executive
Board and all Business meetings;
b. To submit the minutes of all Business Meetings to
the Editor for publication in the monthly newsletter;
c. To prepare all official correspondence; and
d. To send cards to all members for birthdays and other special
occasions.

- 5. MEMBERSHIP
- a. To keep the CLUB roster current and submit monthly updates
to the Cabinet;
b. To maintain detailed records regarding Prospective members;
c. To review at the Executive Board meeting all Prospective members
that have met all membership requirements;
d. To present the eligible Prospective(s) for membership at the
Business Meeting; and
e. To assess pro-rated dues for all new Regular members.
ARTICLE V. MEETINGS
- 1. A business meeting shall be held monthly. Additional
business meetings shall be called by the President as needed.
- 2. A Cabinet Meeting, consisting only of Elected and Appointed
Officers, shall be held monthly and as many more as may be necessary,
to prepare the agenda for the Business Meeting, to determine
the election procedures, to recommend policies of the CLUB, and
to interpret the Constitution and By-Laws.

- ARTICLE VI. FINANCES
- 1. Dues, fees, and assessments should be proportionately
adequate to provide for the smooth functioning of the CLUB.
- 2. Dues shall be paid annually by December 31 for the following
year.
- 3. Any person who is accepted for membership in the CLUB
during the year shall be assessed a pro-rata monthly rate.
- 4. All disbursements over $50 and decisions regarding accounts
and investments shall be approved by a majority of those present
at a Business Meeting.

- ARTICLE VII AMENDMENTS
- 1. This Constitution may be amended by two-thirds (2/3) vote
of the Regular membership of the CLUB in good standing. The
amendment shall be submitted in writing to the Cabinet for approval
prior to publication in the newsletter. The amendment will be
presented at a Business Meeting before being voted on. Due announcement
of intent in the newsletter shall be extended to those unable
to attend the meeting. A waived vote is a vote not returned
and considered an affirmative vote.
- 2. The By-Laws to this Constitution may be amended by a majority
vote of the Regular and Lifetime membership in good standing
at a regular or special business meeting provided due notice
of intent is published in the newsletter.
